With nearly three decades of extensive experience, Maninder is a seasoned corporate commercial legal expert and trusted strategist at the Firm, where he leads the Firms corporate commercial, regulatory and secretarial practice. 

Maninder has successfully led teams and navigated a wide array of complex transactions for domestic and multi-national clients across industry sectors. Maninder has acted for various clients in a wide variety of corporate commercial transactions including corporate restructuring, joint ventures, mergers & acquisitions (both inbound & outbound), foreign investment, private equity/venture capital funding including advise on structuring of investments vehicles/ options, acquisitions & divestments of shares, assets and businesses etc. 

Maninder has also represented various Indian corporate houses seeking funding from strategic and financial investors, particularly private equity funds. Maninder has led teams and successfully represented domestic and multi-national clients in cross-border transactions across industry sectors. Maninder expertize extends to advising on issues involving Company Law, Corporate Governance, Labour and Employment Laws, FCRA, FEMA including Foreign Direct Investments, External Commercial Borrowings, Technology Transfers, etc.

He has worked extensively on policy issues over the last several years and has been associated with different Expert Committees of NIRC-ICSI, ASSOCHAM and PHDCCI, from time to time.

Education / Qualifications

Maninder is a Commerce and Law graduate from the University of Delhi. He is also qualified as a Company Secretary from the Institute of Company Secretaries of India.

Experience

  • Advised the Promoters of an Indian Automobile Spare-parts Company in the sale of a 49% stake (valued at USD 156.93 million) to a Listed Company to form a strategic partnership.
  • As part of an international team, advised a multinational automotive spare-parts company on the sale of its Indian aftermarket division as part of a global business restructuring plan.
  • Advised and the Promoter in the acquisition of shares from other shareholders of an Automobile Spare-parts Company in a series of transactions for approximately USD 40.06 million. 
  • Advised the Promoters in the USD 35.68 million acquisition of shares from an Investor (AIF Category II) in an Automobile Spare-parts Company.
  • Advised an Indian Company that operates multiple super-mart stores across the Delhi NCR region on restructuring its business model. 
  • Advised an Indian Private Limited Company on the sale of the USD 4.23 million slump sale of one of its Indian divisions as part of a business restructuring plan. 
  • Represented an Indian Private limited Company on a USD 21 million fundraise (in two tranches) from AIF II, issued as secured non-convertible debentures. 
  • Advised and assisted the Indian pharmaceutical companies (part of a multinational) in delinking cross-holding across group entities in India, valued at USD 78 million, as part of a global business restructuring plan.
  • Advised both International clients (setting up in India) and Indian clients (setting up overseas) on subsidiary and joint venture formation. Also, provided ongoing operational and compliance support to these entities, including matters related to technology and trademark transfer.
  • Successfully interacted and/ or dealt with various authorities/ departments/ agency, including the RBI, the erstwhile FIPB, DIPP, Registrar of Companies (RoCs), Regional Director, Ministry of Corporate Affairs etc., for various compliance and regulatory matters.
